Borrowing against private-company equity joins two uncertain timelines: the employee’s repayment obligation and the company’s possible liquidity event.
A useful product explanation should set out the repayment terms, valuation approach and consequences if an expected sale or listing does not occur. Employees should be able to understand how employment changes or a lower share valuation could affect the arrangement.
Providers and employers should also separate a financing offer from promises about the company’s future. Clear disclosure will not remove every trade-off, but it makes the decision more intelligible. Access to liquidity should not depend on a worker interpreting optimistic fundraising language as a guaranteed exit.
